•Scope of Material. The material scope of this RSA legal service covers matters related to corporate legal aspects, including:

(7)Insurance Aspects
(8)Taxation Aspects
•Scope of Formality. The formal scope of legal services includes and outputs from the LEGAL CONSULTANT, as follows:
(1)Consultation
(2)Oral Compilation
(3)Formal Meeting
(4)Company Visit
(5)Drafting Legal Memorandum/Legal Opinion
(6)Correspondence with third parties
(7)Review, Drafting, and Presentation of contracts and other legal documents
(8)Handling Litigation Cases with Special Power of Attorney
•Service Procedure. The LEGAL CONSULTANT will form a Legal Committee that will communicate through a WhatsApp Group consisting of four (4) representatives from the LEGAL CONSULTANT and two (2) representatives from the CLIENT. Adding CLIENT representatives must be approved and can be done anytime based on discussion with the LEGAL CONSULTANT. In this WhatsApp Group, the CLIENT is entitled to request consultations or legal issue handling. The LEGAL CONSULTANT will respond during general business hours. If the LEGAL CONSULTANT decides to handle the request, they reserve the right to select and deliver service documents appropriate to the need. Any information exchanged with representatives outside the Legal Committee WhatsApp Group will only include working hour coordination explanations, pending further documentation through official ANSUGI LAW invoices or CLIENT invoices. The CLIENT has the right to critique any RSA terms for revision within a maximum of five (5) working days in cases where the LEGAL CONSULTANT agrees to complete the requested service.
•Payment Procedure. The LEGAL CONSULTANT will issue a Monthly Statement notification via email on the 1st of every following month under the RSA. The CLIENT, who still has obligations to the LEGAL CONSULTANT as outlined in the Monthly Statement, must fulfill them to ensure the continuation of the RSA. The LEGAL CONSULTANT reserves the right to terminate this RSA unilaterally and claim compensation equivalent to one (1) agreement if the CLIENT is deemed to have defaulted and shown no good faith in fulfilling their responsibilities.
•Information Protection. The LEGAL CONSULTANT is committed to maintaining the confidentiality of information related to the CLIENT's interests. Violations of this commitment may result in (1) suboptimal service from the LEGAL CONSULTANT, (2) unilateral termination of the Special Power of Attorney, and/or (3) asset seizure, imposing obligations on the CLIENT to bear all damages incurred by the LEGAL CONSULTANT outside the Agreement. Any non-legal documents containing personal usage information provided under the CLIENT’s authorization may be used for court purposes, including but not limited to case studies and other document contents.
•Conflict of Interest. In the event of a conflict of interest (COI) with another client of the LEGAL CONSULTANT, the LEGAL CONSULTANT reserves the right to accept the Special Power of Attorney from only one party as determined in the Service and Payment Procedures. Termination for any reason does not eliminate the CLIENT's obligation to pay for work currently underway or already completed.
•Null and Void. By signing this RSA, any prior agreements made between THE PARTIES shall be null and void. This RSA shall not be rendered null and void if parts of its content conflict with prevailing laws in Indonesia. Only the conflicting provisions shall be declared null or amended as per mutual agreement.
